Wholesale Market Agreement
This agreement governs wholesale selling through Hijabiin: approved factories, workshops and fashion houses list their goods, the Platform's approved boutiques buy from them, and the Platform receives a percentage of every deal. The supplier and the boutique both accept it, with the pledge not to trade outside the Platform, before any contact between them.
1. Parties and purpose
- “The Platform” is Hijabiin and the entity that operates it. “The supplier” is an approved factory, workshop or fashion house selling wholesale through the Platform. “The buyer” is a boutique approved on the Platform that buys wholesale through it. A “deal” is every purchase order or quote request both parties agree on in the wholesale market.
- The wholesale market is where the supplier and the buyer meet: the Platform lists the offers, carries the communication between the parties, records the deal and its terms, and decides any dispute brought to it. The sale in it is made directly between the supplier and the buyer.
- This agreement forms part of the Terms of Use and prevails over them in what it governs. The Seller Agreement continues to apply to the boutique in its sales to customers.
2. Registration and approval
- The supplier registers through the suppliers' portal with an account of its own, and provides its legal and trade names, city and kind of business, and its commercial registration or craft licence number with an image of the document. The Platform's team reviews the file and approves it, or rejects it with a written reason.
- Boutiques approved on the Platform buy in the wholesale market, through the boutique's owner.
- The supplier accepts this agreement when it registers, and the boutique's owner accepts it before first browsing the offers. The acceptance is recorded with the agreement's version, the fingerprint of its text, the time and the accepting account.
3. Offers and prices
- In every offer the supplier sets the minimum order quantity, the unit price for each quantity tier, and the preparation time. Prices are in Jordanian dinars and include the general sales tax.
- The Platform's team reviews every offer before it is published and after every edit. The supplier upholds the Platform's modest identity in every image and text: any person shown wears proper Islamic hijab in full, with loose, non-revealing clothing and hair fully covered. The supplier confirms this when uploading each image.
- The supplier warrants that the goods are genuine, owned or produced by it, and match their description and images.
4. The deal
- The buyer orders from a published offer in a quantity that reaches the minimum order, and the price follows the tier the quantity reaches; or the buyer asks for a quote for a particular quantity or specification, and the supplier proposes the price. The deal is confirmed when the other party accepts its terms.
- Before confirmation the deal shows the quantity, the unit price, the full value and the Platform's percentage, and the parties agree in it on the payment method and the delivery date. The buyer pays the deal's value directly to the supplier by the agreed method.
- The boutique's delivery address is shown to the supplier once the deal is confirmed, and is used for delivery only.
- The supplier records the shipment, and the buyer confirms receipt or raises a dispute. The deal counts as received fourteen days after shipment if the buyer has neither confirmed it nor raised a dispute.
- Either party may cancel a confirmed deal before shipment, with a written reason the other party sees.
5. The Platform's percentage
- The Platform receives a percentage of the value of every wholesale deal, paid by the supplier. The supplier receives the rest of the value in full. The percentage is shown in the wholesale market and on every deal before confirmation.
- The percentage is calculated at the rate in force when the deal is confirmed and stays fixed on it, so a later change of rate leaves a confirmed deal as it is. The percentage includes the general sales tax.
- The percentage falls due when the deal counts as received, and is paid within fourteen days of falling due. While it is overdue after that, the supplier cannot confirm new deals until it is paid.
- Where a dispute decision reduces a deal's value, the percentage is calculated on the reduced value. A deal cancelled before shipment carries no percentage.
6. Communication on the Platform
- All communication between the supplier and the buyer takes place in the deal's conversation on the Platform. Each party sees the other's trade name and city.
- A message containing a phone number, a link or an e-mail address is refused automatically; its text is kept by the Platform's team as evidence and is not shown to the other party.
7. The pledge not to trade outside the Platform
The supplier and the boutique's owner each accept this pledge, in its full text, with an explicit checkbox that is not ticked in advance, before any contact between them:
- I solemnly swear and undertake not to sell to or buy from, outside Hijabiin, any party I met through the Platform's wholesale market, directly or through anyone else, for as long as I hold a wholesale account and for twenty-four months after our last contact through the Platform. I acknowledge that the Platform's percentage remains due on every deal concluded outside the Platform in breach of this pledge, calculated on that deal's value and owed by both of its parties jointly, and that the Platform may suspend my account.
The pledge covers every wholesale or retail sale or purchase between the parties, and every deal made through another company or person acting for either of them.
The percentage due on a deal made in breach is calculated at the rate in force when the breach is established, on that deal's value as the Platform's team establishes it from the documents available.
8. Disputes
- The buyer may raise a dispute on a shipped deal before confirming receipt, with a written description of the problem. The Platform's team reads the deal's conversation and hears both parties, then decides to complete the deal at its value or at a reduced value, or to cancel it, in a written decision both parties see.
- The team's decision in a dispute sets the deal's value and the Platform's percentage on it, and leaves each party's right to go to court intact.
9. Suspension and termination
- By a written decision stating its reason, the Platform may suspend a supplier or stop a boutique from buying wholesale for a breach of this agreement or the pledge: the supplier's offers stop showing and no new deals start, while open deals continue to completion.
- The pledge in section 7 and any percentage due remain in force after suspension or account closure for the whole term of the pledge.
10. Changes and renewed acceptance
- The agreement carries a dated version. Both parties are told of any material change before it takes effect, and neither continues in the wholesale market afterwards without accepting the new version.
- Section 15 of the Terms of Use governs the applicable law and jurisdiction.
